Introduction
hese Terms and Conditions govern all investments, agricultural operations, land usage, cultivation, maintenance, harvesting, and profit-sharing arrangements offered by Nova Green Zest (Pvt) Ltd (“the Company”).
By entering into an investment or service agreement with the Company, the investor (“Client”) agrees to comply with and be bound by these Terms and Conditions.
Nature of the Investment
The investment offered by Nova Green Zest is an agriculture-based investment. The Company undertakes the cultivation, management, harvesting, and sale of agricultural produce on behalf of the Client in accordance with the agreed plan.
Land Ownership & Usage Rights
All land used for cultivation remains the exclusive property of Nova Green Zest (Pvt) Ltd.
The Client does not obtain ownership, tenancy, or permanent rights over the land. Any land allocation provided is strictly for investment and cultivation purposes during the contract period only.
Cultivation & Management Responsibilities
The Company shall be solely responsible for:
Land preparation and cultivation
Planting and maintenance
Fertilization, irrigation, and crop protection
Harvesting and sale of produce
All agricultural decisions shall be made by the Company based on professional judgment, climatic conditions, and best agricultural practices.
Investment Amount & Payment Terms
The Client agrees to invest the amount specified in the agreement.
Payments shall be made according to the agreed schedule. Once paid, investment amounts are non-refundable unless explicitly stated otherwise in writing.
Profit Sharing & Returns
Net profits generated from the sale of agricultural produce shall be distributed to the Client according to the agreed profit-sharing ratio.
Profit payments shall be made periodically as outlined in the agreement and only after successful harvesting and sale.
Investment Duration
The investment shall remain valid for the agreed contractual period.
The contract period may be extended if cultivation or harvesting is delayed due to natural, environmental, or regulatory factors beyond the Company’s control.
Risk Disclosure
The Client acknowledges that agriculture involves inherent risks including but not limited to:
Weather conditions
Natural disasters
Pests and diseases
Government regulations
The Company shall not be held liable for losses arising from such uncontrollable factors.
No Guaranteed Returns
Returns on investment are not guaranteed. Profit distribution depends entirely on crop performance, market conditions, and external factors affecting agriculture.
Ownership of Crops & Produce
All crops, plants, and produce cultivated under the investment remain the property of Nova Green Zest until sold.
The Client has no right to harvest, sell, remove, or interfere with crops without written authorization.
Restrictions on Client Actions
The Client shall not:
Enter the cultivation land without prior notice
Sell, transfer, or mortgage investment rights
Damage crops, land, or infrastructure
Assign rights to third parties without approval
Violation may result in termination of the agreement.
Access & Inspection
The Client may request access to inspect cultivation activities with prior notice.
Such inspections shall be conducted under the supervision of Company representatives.
Termination of Agreement
The Company reserves the right to terminate the agreement if the Client:
Violates these Terms and Conditions
Misuses land or assets
Engages in unauthorized activities
Upon termination, the Company may repossess land and assets without compensation.
Refund Policy
Investment amounts paid are non-refundable once the agreement has commenced, except where explicitly stated otherwise in writing.
Force Majeure
The Company shall not be liable for delays or failures caused by events beyond its control, including natural disasters, government actions, or unforeseen environmental conditions.
Communication & Notices
All official communications shall be sent via registered address, email, or approved electronic channels.
Clients are responsible for ensuring their contact details are accurate and up to date.
Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Sri Lanka.
Dispute Resolution
Any disputes arising shall be resolved under Sri Lankan legal jurisdiction. Courts located in Sri Lanka shall have exclusive authority.
Amendments
The Company reserves the right to update or modify these Terms and Conditions when necessary. Updated terms shall be effective upon publication on the website.
Acceptance
By proceeding with an investment or engaging in services with Nova Green Zest (Pvt) Ltd, the Client confirms acceptance of these Terms and Conditions in full.
